These Website Terms of Use (“Terms”) govern your access to and use of we-spec.com and any related pages (the “Site”), operated by WeSpec LLC (“WeSpec,” “we,” “us,” or “our”), 28202 Cabot Road, Suite 300, Laguna Niguel, California 92677. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.
1. Purpose of the Site
The Site provides general information about WeSpec and its lighting design, specification, program management, sourcing and distribution services. Content on the Site is for general informational purposes only. Nothing on the Site is an offer to sell, a quotation, a guarantee of availability or pricing, or professional, engineering, design, code-compliance or legal advice. Purchases of goods and services from WeSpec are governed exclusively by WeSpec’s Terms & Conditions of Sale and the quotation, order confirmation or invoice provided with each transaction, not by these Terms.
2. No Professional Advice; Your Responsibility
Lighting layouts, fixture selections, specifications and installations must be reviewed and approved by qualified, licensed professionals for your specific project and must comply with all applicable codes, laws and regulations. You are solely responsible for verifying the suitability of any product or information for your intended use. Do not rely on the Site as a substitute for project-specific professional review.
3. Accuracy of Information
We work to keep the Site accurate and current, but the Site may contain errors, omissions or outdated information, including product descriptions, images, statistics and company information. We may change or remove any content at any time without notice and have no obligation to update the Site.
4. Photographs, Brands and Trademarks
Photographs of franchise locations and other projects are shown to illustrate the type of work and industries WeSpec supports. Franchise names, logos and trademarks shown on the Site belong to their respective owners. Their appearance does not imply endorsement of WeSpec, sponsorship, or any relationship beyond what is expressly stated.
5. Intellectual Property
The Site and its content, including text, graphics, logos, photographs, videos, design and code, are owned by WeSpec or its licensors and are protected by copyright, trademark and other laws. We grant you a limited, revocable, non-exclusive, non-transferable license to view the Site for your own informational purposes. You may not copy, reproduce, modify, distribute, republish, frame, scrape or create derivative works from any part of the Site without our prior written consent. WeSpec and the WeSpec logo are trademarks of WeSpec LLC.
6. Acceptable Use
You agree not to:
- use the Site for any unlawful, fraudulent or harmful purpose;
- submit false, misleading or impersonating information, or another person’s information without permission;
- send spam, malware or unsolicited advertising through the Site or its forms;
- attempt to gain unauthorized access to, disrupt, overload or interfere with the Site, its security features or the systems that host it;
- use bots, scrapers or other automated means to access or collect content from the Site, except search engines following our robots.txt; or
- circumvent or interfere with any security or anti-spam measure, including Cloudflare Turnstile.
7. Contact Form Submissions
When you contact us through the Site, you agree that the information you provide is accurate and that you are authorized to share it. Please do not send confidential, proprietary or sensitive information through the Site. Submitting a message does not create a contract, a business relationship or any obligation for WeSpec to respond, provide a quotation or perform services. Any ideas, suggestions or feedback you send may be used by WeSpec without obligation or compensation to you.
8. Third-Party Links and Services
The Site may link to, or rely on, websites and services operated by third parties. We do not control and are not responsible for their content, availability, security or practices, and a link does not imply endorsement. Your use of third-party websites and services is at your own risk and subject to their terms and policies.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WESPEC DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT AND ACCURACY. WESPEC DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT ANY MESSAGE YOU SEND WILL BE RECEIVED.
10. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL WESPEC OR ITS MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUPPLIERS OR SERVICE PROVIDERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. WESPEC’S TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SITE OR THESE TERMS WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
11. Indemnification
You agree to defend, indemnify and hold harmless WeSpec and its members, managers, employees, agents and affiliates from and against any claims, liabilities, damages, losses and expenses, including reasonable attorneys’ fees, arising out of or relating to your use of the Site, your violation of these Terms, or your violation of any law or the rights of any third party.
12. Privacy
Our collection and use of personal information through the Site is described in our Privacy Policy, which is part of these Terms.
13. Governing Law and Venue
These Terms and any dispute arising out of or relating to the Site are governed by the laws of the State of California, without regard to its conflict-of-law rules. Disputes arising out of or relating to any purchase of goods or services from WeSpec are governed exclusively by the dispute-resolution provisions of WeSpec’s Terms & Conditions of Sale. For all other disputes, you agree that they will be brought only in the state or federal courts located in Orange County, California, and you consent to their personal jurisdiction. To the fullest extent permitted by law, any claim must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding, and must be filed within one (1) year after the claim arose, or it is permanently barred.
14. Changes to the Site and These Terms
We may modify, suspend or discontinue the Site at any time without notice or liability. We may update these Terms from time to time by posting a revised version on this page with a new effective date. Your continued use of the Site after changes are posted means you accept the revised Terms.
15. General
If any provision of these Terms is found unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms are the entire agreement between you and WeSpec regarding your use of the Site and supersede any prior understandings about it. You may not assign these Terms; we may assign them without restriction. Section headings are for convenience only.
